1. ABOUT MILLE PIXELS

Mille Pixels is a digital services provider offering, including but not limited to:

• Web Design & Development

• Branding & Visual Identity

• AI Automation & Systems

• Digital Advertising & Marketing

• Website Maintenance & Hosting Services

All services are custom and tailored to each client, even when starting prices are displayed.

Mille Pixels currently operates as a sole professional service provider. Formal business registration may occur at a later date.




2. ACCEPTANCE OF TERMS

By engaging our services, you confirm that:

• You have read and understood these Terms

• You agree to be legally bound by them

• You are authorized to enter into an agreement on behalf of yourself or your organization Website

If you do not agree with these Terms, you must not use our services.




3. PROJECT SCOPE & AGREEMENTS

Each project is governed by:

• These Terms & Conditions

• A written proposal, quote, or agreement provided by Mille Pixels



The proposal defines:

• Scope of work

• Deliverables

• Timeline

• Pricing

• Payment structure



Any work outside the agreed scope will require written approval and may incur additional fees.




4. PAYMENTS & DEPOSITS (MANDATORY)

A non-refundable deposit is required before any work begins.


• The deposit amount will be specified in writing

• Work will not start until the deposit is received

• The deposit secures your project slot and time allocation


The remaining balance must be paid according to the agreed schedule.



Once work has started, all payments are non-refundable, regardless of:

• Project completion

• Client satisfaction

• Change of mind

• Project cancellation



Failure to make payments on time may result in:

• Paused work

• Delayed delivery

• Project termination




5. PRICING & CUSTOM SERVICES

All services are custom-priced unless otherwise stated.


Starting prices may be shown on the website, but final pricing depends on:

• Project complexity

• Features requested

• Timeline

• Revisions and scope changes


Mille Pixels reserves the right to adjust pricing for additional work not included in the original agreement.




6. REVISIONS & FEEDBACK

Unless otherwise stated:

• A limited number of revisions is included per project

• Revisions must be requested within a reasonable timeframe


Excessive revisions or changes outside the original scope may result in additional charges.


The Client agrees to:

• Provide timely feedback

• Supply required content and materials promptly


Delays caused by the Client may affect timelines and delivery.




7. CLIENT RESPONSIBILITIES

The Client is responsible for:

• Providing accurate information

• Ensuring they have rights to all supplied content (text, images, logos)

• Reviewing and approving work before final delivery

Mille Pixels is not liable for issues caused by incorrect or delayed information from the Client.




8. OWNERSHIP & INTELLECTUAL PROPERTY

Until full payment is received:

• All designs, code, concepts, and materials remain the property of Mille Pixels


Once full payment is completed:

• Ownership of the final approved deliverables is transferred to the Client

• Mille Pixels retains the right to display the work in its portfolio only with Client consent.

Drafts, concepts, and unused materials remain the property of Mille Pixels.




9. PORTFOLIO & PROMOTIONAL USE

Mille Pixels may request permission to:

• Showcase completed projects in portfolios

• Use work for marketing and promotional purposes


Projects will only be displayed if the Client explicitly agrees.




10. AI AUTOMATION & SOFTWARE SERVICES

For AI automation and system-based services:

• A setup fee may apply

• Ongoing subscriptions may be required for maintenance, hosting, or system operation


Mille Pixels is not responsible for:

• Third-party platform outages

• API changes

• Service disruptions outside our control




11. MAINTENANCE & SUBSCRIPTIONS

Recurring services (maintenance, hosting, automation systems) are billed:

• Monthly or as agreed

• Automatically unless canceled in writing


Subscription cancellations require advance notice as stated in the agreement.




12. DIGITAL ADVERTISING SERVICES

For advertising services:

• Mille Pixels does not guarantee specific results (leads, sales, revenue)

• Performance depends on multiple external factors


Ad spend budgets are separate from service fees and paid directly by the Client.




13. NO GUARANTEES

While we strive for high-quality results, Mille Pixels does not guarantee:

• Specific business outcomes

• Search engine rankings

• Conversion rates

• Revenue increases


All services are provided using best practices and professional expertise.




14. TERMINATION

Either party may terminate a project in writing.


If the Client terminates after work has started:

• All payments made remain non-refundable

• Mille Pixels retains ownership of all work until full payment


If Mille Pixels terminates due to Client breach:

• Payments remain non-refundable




15. LIMITATION OF LIABILITY

Mille Pixels shall not be liable for:

• Indirect or consequential damages

• Loss of revenue or data

• Third-party service failures


Total liability is limited to the amount paid by the Client for the specific service.




16. CONFIDENTIALITY

Both parties agree to keep confidential:

• Business information

• Project details

• Sensitive data


This obligation survives project completion.




17. DATA PROTECTION & PRIVACY

Personal data is handled in accordance with our Privacy Policy and applicable data protection laws, including GDPR.




18. GOVERNING LAW & JURISDICTION

These Terms are governed by the laws of Italy.


In case of disputes:

• Parties agree to attempt informal resolution first

• If unresolved, disputes fall under Italian jurisdiction




19. CHANGES TO TERMS

Mille Pixels reserves the right to update these Terms at any time.


Continued use of services constitutes acceptance of the updated Terms.
